Article 1 — Purpose and Scope
These Terms of Sale govern the sale of prepaid credits enabling the use of the Tonael service published by Cohesium AI (details: see Legal Notice). They supplement the Terms of Use. The Service and the sale of credits are intended exclusively for professional customers; the protective provisions of the French Consumer Code, reserved for consumers, do not apply. Any order of credits implies unreserved acceptance of these Terms of Sale.
Article 2 — Model: Prepaid Credits
The Service operates without a subscription, using prepaid credits that the user consumes as it uses the Service. No automatic renewal or recurring charge is put in place merely as a result of purchasing credits.
Article 3 — Prices and Billing
The Service is billed per minute of audio processed, according to the models used ("Tonael" / "Tonael Ultra") and the processing mode ("hot" / "batch"). The applicable rates are those displayed on the /pricing page of tonael.com at the time credits are purchased. Prices are shown exclusive of tax (net of VAT).
VAT: French VAT applies where due. For taxable professional customers established in another Member State of the European Union and providing a valid intra-EU VAT number, the reverse charge mechanism applies.
Article 4 — Ordering and Payment
Credits are ordered via the console. Payment is made by bank card through our provider Stripe. The order is confirmed once payment is validated, at which point the credits are added to the account balance.
Article 5 — No Right of Withdrawal; Consent to Immediate Performance
5.1 Professional customers. The Service and prepaid credits are sold exclusively to professional customers acting for the purposes of their professional activity (Terms of Use, Article 2). The right of withdrawal set out in Article L.221-18 of the French Consumer Code is reserved for consumers and does not apply.
5.2 Express consent to immediate performance. By purchasing prepaid credits, the customer expressly requests that Cohesium AI make the credits available and the Service accessible immediately upon confirmation of payment, without waiting for the expiry of any withdrawal period. The Service is a digital service supplied without a tangible medium.
5.3 Acknowledgement of loss of the right of withdrawal. Where, notwithstanding Article 5.1, a customer would qualify as a consumer, that customer expressly acknowledges that, by requesting immediate performance under Article 5.2, they lose their right of withdrawal in respect of any credit consumed, in accordance with Article L.221-28, 13° of the French Consumer Code and Article 16(m) of Directive 2011/83/EU. Cohesium AI confirms this consent and acknowledgement by email on a durable medium at the time of purchase.
5.4 Consumer carve-out — unconsumed credit. Where a customer qualifies as a consumer, the right of withdrawal remains exercisable within fourteen (14) days of purchase in respect of the portion of credit not consumed at the date the withdrawal is notified. That portion is reimbursed to the original payment method within fourteen (14) days of receipt of the notification. Credit already consumed is not reimbursed.
Article 6 — Refund Doctrine
6.1 Prepaid credits are non-refundable. Except as provided in Article 5.4, sums paid for prepaid credits are final and are not reimbursed in cash, whether the credits have been consumed or not.
6.2 Processing failures. Where a job fails for a technical reason attributable to the Service, the amount reserved for that job is automatically re-credited to the customer's balance.
6.3 Compensation in credits. Any commercial gesture or compensation is granted in credits and gives rise to no entitlement to a cash payment.
6.4 No refund is due for credits duly consumed corresponding to a service that was correctly performed.
Article 7 — No Renewal
As the purchase of credits is one-off and prepaid, no tacit renewal applies. The user controls its purchases.
Article 8 — Validity and Treatment of Credits Upon Closure
Prepaid credits have no expiry date and remain usable for as long as the customer's account remains open and in good standing. In the event of termination for the customer's serious breach (fraud, abuse, violation of the Terms of Use or these Terms of Sale), unused credits may be forfeited without entitlement to compensation. Credits are not transferable between accounts and have no monetary value outside the Service.
Article 9 — Governing Law and Jurisdiction
These Terms of Sale are governed by French law. Any dispute falls within the exclusive jurisdiction of the courts having jurisdiction over the registered office of Cohesium AI (Thonon-les-Bains), subject to the mandatory rules applicable between professionals.
