Article 1 — Purpose
These Terms of Use govern access to and use of the Tonael service, published by Cohesium AI ("Cohesium AI" or "we"), comprising the API accessible via tonael.com/api/v1 and the web console platform.tonael.com (the "Service"). The Service aligns lyrics to audio content (word-by-word or letter-by-letter timestamps) using the "Tonael" and "Tonael Ultra" models. Any use of the Service implies unreserved acceptance of these Terms of Use.
Article 2 — Intended Audience (Professional Use)
The Service is intended exclusively for professionals and developers acting for the purposes of their professional activity. The user declares that it acts for purposes falling within the scope of its commercial, industrial, craft or professional activity. The Service is not intended for consumers within the meaning of the French Consumer Code. The user must have the legal capacity to contract and, where applicable, the authority to bind the legal entity it represents.
Article 3 — Access, Registration and Email Verification
Access to the console requires the creation of an account, either by email and password (with mandatory email verification) or by OAuth authentication via Google or GitHub. The user undertakes to provide accurate information, to keep its credentials and API key confidential, and to report any unauthorized use without delay. Any action carried out using the user's credentials or API key is deemed to have been performed by the user.
Article 4 — API Key and OAuth Accounts
The API key is personal and strictly confidential; the user is responsible for protecting it and for any use made of it. In the case of OAuth authentication, the user authorizes Cohesium AI to receive from the chosen provider the identification information strictly necessary (identifier, email address).
Article 5 — Acceptable Use
The user undertakes not to:
- submit or process unlawful, infringing content, or content for which it does not hold the necessary rights;
- infringe the rights of third parties (copyright, related rights, privacy);
- circumvent technical, security, quota or billing measures;
- abuse the free tier (creating multiple accounts, fraudulent automation aimed at circumventing free limits);
- overload, disrupt or compromise the integrity or security of the Service;
- carry out unauthorized reverse engineering of the models.
The user warrants that it holds all rights to the audio files and lyrics it submits and is solely responsible for their lawfulness.
Article 6 — Intellectual Property and License
User content: the user retains full ownership of its audio files and lyrics. The user grants Cohesium AI a non-exclusive, worldwide, royalty-free license over such content, to:
(i) process the content, produce and make available the alignment results, and store them temporarily for the applicable retention period (24 hours for hot jobs, 72 hours for batch jobs) for the sole purpose of delivering the Service.
This licence is limited to delivering the Service. It does not authorise Cohesium AI to retain the content beyond that period, nor to use it to train its models.
The user warrants that it holds all rights and authorizations necessary to grant this license, and shall indemnify Cohesium AI against any third-party claim in this respect.
Optional training programme: a separate and broader licence, covering the use of the content to train the models, is granted only where the customer explicitly opts in under the conditions set out in Section 4 of the Privacy Policy. That opt-in requires a specific warranty of rights covering training use, is withdrawable at any time, and has no effect on access to, or the price of, the Service. Where the customer acts as a data controller for content relating to its own end users, this programme operates only within the data processing agreement between the parties and on the customer's documented instructions (Art. 28.3.a GDPR).
Results: subject to payment, the alignment results generated are made available to the user for its use.
Cohesium AI elements: the Service, the models, the API, the console, the trademarks and the documentation remain the exclusive property of Cohesium AI. No rights are assigned to the user beyond the right of use necessary to use the Service.
Article 7 — Availability — Service "As Is"
The Service is provided "as is" and "as available". Cohesium AI endeavors to ensure reasonable availability and quality but does not guarantee uninterrupted availability, the absence of errors, or the accuracy of the alignment result in all cases. Cohesium AI may modify, suspend or discontinue all or part of the Service for maintenance, security or technical-evolution reasons.
Article 8 — Limitation of Liability
As the Service is provided to professionals, and to the extent permitted by law:
- Cohesium AI is not liable for indirect damages (loss of business, loss of data beyond the provided retention, loss of revenue, loss of customers);
- Cohesium AI's total liability, for all damages combined, is capped at the amount actually paid by the user during the twelve (12) months preceding the triggering event;
- the user is solely responsible for the lawfulness of the content it processes, the rights it grants, and the use of the results.
Cohesium AI shall not be held liable in the event of force majeure or the act of a third party, in particular the failure of a technical processor.
Article 9 — Suspension and Termination
In the event of a breach of these Terms of Use, abusive use, fraud or a security risk, Cohesium AI may suspend (freeze) or close (administrative ban) an account, with or without notice depending on the severity. The user may close its account at any time. The provisions relating to intellectual property, warranty, liability, governing law and jurisdiction survive termination. The treatment of credits is governed by the Terms of Sale.
Article 10 — Amendment of the Terms of Use
Cohesium AI may amend these Terms of Use and will inform users of material changes. Continued use constitutes acceptance of the version in force.
Article 11 — Governing Law and Jurisdiction
These Terms of Use are governed by French law. Any dispute falls within the exclusive jurisdiction of the courts having jurisdiction over the registered office of Cohesium AI (Thonon-les-Bains), including in the event of multiple defendants or third-party proceedings, subject to the mandatory rules applicable between professionals.
